When you receive a contract from another person or business the first thing you should do is send it to Contract Nation. Once we receive it, we will (1) perform light research into the transacting entity to make sure that the business entity actually exists, is in good standing, and that the contract will be signed by the right person who has authority to bind that company. (2) Contract Nation will then perform a quick review of the business terms to make sure it matches with what you’ve told us about the transaction. (3) Contract Nation will then review the legal terms making notes where necessary.

After a review of the agreement, Contract Nation will either make direct revisions or cause redlines to be made to balance out any terms that seem unfair, inequitable, or heavily favor the the other party. Contract Nation will also add any terms that are blatantly missing in order to protect and promote your business. The redlines will then be sent back to you for a quick discussion to make sure we are on the same page.

Now the fun part. Most people think that if you try to negotiate your contract, that you will scare away the party you are doing business with. This could not be more false. In fact, it is a huge red flag if a business cancels a deal because you try to balance the terms. Contract Nation will compile the redlines made to the agreement and draft an email to send to the transacting party that is friendly yet professional. From this point, it is up to you whether you want to handle communications yourself (using our copy and paste emails), or if you want Contract Nation to communicate directly with the transacting party on your behalf. It will be our pleasure to do either one. The contract price includes unlimited communication with the transacting party.

Contract Nation will schedule a meeting with you to understand your business, the service you offer, and the intricacies of your dealings. From there, the custom contract will be designed to contemplate every aspect of your business to make sure that you can use the contract as a sword or as a shield. When a customer doesn’t pay you, you want to be able to use the contract as a sword to say “Hey, no, this is what our contract says, and you need to pay me for the hard work that I performed for you.” On the other hand, if a customer tries to wrongfully shift the blame on you for something you should use your contract as a shield — in other words, as a device that gives you legal protection.

Depending on the complexity of your business or service, a custom contract ranges anywhere from $1,000 to $5,000. However, the good news is that (1) every custom agreement is hand-crafted to serve your business, (2) every custom contract comes with a free yearly review for minor touch-ups for up to two years, and (3) your custom contract will pay for itself because you will save money in two ways: (i) You won’t have to spend money to get a new agreement drafted or reviewed every time you sign your client up and (ii) a good contract helps keep you out of lawsuits. Most lawsuits arise out of bad contracts and poor communication. A professional, high-quality custom contract will resolve that issue.

When a contract is already signed by all the parties and the contract is effective, sometimes questions will arise as to what the contract let’s you do, or prevents you from doing. The answer to those questions might be difficult to ascertain from the document itself but Contract Nation will meticulously review the agreement to determine your rights and obligations. From there, you can use the information to make better business decisions and help reduce risk of making the wrong choice.

Sometimes you need a lawyer to send a formal letter using language from your contract as a sword (a demand letter), or as a shield (a cease and desist letter). Contract Nation will draft or partner up with a local attorney to draft a strongly worded demand letter to save your business from unnecessary litigation, or to recover the money you are owed under a contract.

A review and legal analysis of a contract is priced the same way as the “Review, Revise, Negotiation” package = $100 for the first ten pages, then $25 for each page after that.
A demand letter is usually based on an hourly rate that is at, or less than, the hourly rate of $510. Most demand letters take about 1 to 2 hours to draft, finalize, and send.
